Please read these Terms carefully before using the Field24 platform. By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. About Field24

Field24 (Pty) Ltd ("Field24", "we", "us") operates an AI-powered online marketplace that connects buyers ("Buyers") with independent field service technicians and companies ("Providers"). Field24 is a platform intermediary only — we do not employ Providers and are not party to any service agreement between a Buyer and a Provider.

These Terms govern your access to and use of field24.co.za, our APIs, mobile apps and all related services (collectively, the "Platform").

Field24 charges a service fee on completed jobs to sustain and improve the platform.

The 15% fee is deducted from the Provider's payout. Providers receive 85% of the agreed job price. VAT is charged in accordance with applicable South African tax law. Field24 reserves the right to adjust fee structures with 30 days' notice to active Providers.

4. Job Lifecycle

4.1 Posting a Job (Buyer)

Buyers post job requests describing the required work, location, expected timeframe and budget. Job posts must be accurate, lawful and not misleading.

4.2 Bidding (Provider)

Providers may submit bids or counter-bids on open jobs. A bid constitutes an offer to perform the described work at the quoted price. Providers are responsible for accurately assessing the scope before bidding.

4.3 Acceptance & Escrow

When a Buyer accepts a bid, funds equal to the agreed amount are placed in escrow by Field24. No funds are released to the Provider until the Buyer approves job completion.

4.4 Job Completion & Approval

Upon completing the work, the Provider marks the job as complete. The Buyer must approve or raise a dispute within 72 hours. If no action is taken within 72 hours, the job is automatically approved and escrow is released.

4.5 Escrow Release

On job approval, Field24 releases 85% of the escrowed amount to the Provider's wallet. The 15% platform fee is retained by Field24. Wallet payouts to bank accounts are processed within 2–5 business days.

5. Dispute Resolution

5.1 Raising a Dispute

Either party may raise a formal dispute via the Platform within 72 hours of the Provider marking a job complete. Disputes must include a clear description and supporting evidence (photos, messages, documents).

5.2 Field24 Mediation

Field24's dispute team will review the evidence and may request additional information from both parties. Field24 will issue a binding determination within 5 business days. Determinations may include full release of funds, partial release, or refund.

5.3 Escalation

If either party disagrees with Field24's determination, they may escalate to an independent mediator at their own cost. Field24's obligation is limited to good-faith mediation and shall not exceed the escrowed job amount.

5.4 Chargebacks

Buyers agree not to initiate chargebacks while a dispute is in progress. Fraudulent or bad-faith chargeback requests will result in account suspension.

The following conduct is strictly prohibited on the Platform:

Violations may result in immediate account suspension, permanent ban, and referral to law enforcement where appropriate.

9. Intellectual Property

All content on the Platform — including software, design, trademarks, logos and written content — is owned by Field24 or licensed to us. You may not reproduce, distribute or create derivative works without our written consent. You retain ownership of any content you upload (job descriptions, photos, documents) but grant Field24 a non-exclusive licence to use it for the purpose of operating the Platform.

10. Limitation of Liability

To the maximum extent permitted by law, Field24's total liability to you for any claim arising out of or relating to these Terms or your use of the Platform shall not exceed the greater of (a) R 5,000 or (b) the total platform fees paid by you in the 3 months preceding the claim.

Field24 is not liable for indirect, consequential, punitive or special damages, loss of profits, loss of data or business interruption, even if advised of the possibility of such losses.

11. Indemnity

You agree to indemnify and hold harmless Field24, its directors, employees and agents from any claims, damages, liabilities and costs arising from: (a) your use of the Platform; (b) your breach of these Terms; (c) any dispute between you and another user; or (d) your violation of any law or third-party rights.

12. Modifications to the Platform and Terms

Field24 may modify these Terms at any time. Material changes will be communicated via email with at least 14 days' notice. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. We may also modify, suspend or discontinue any feature of the Platform at any time without liability.

13. Termination

Either party may terminate this agreement at any time by closing the account. Field24 may suspend or terminate your account immediately for breach of these Terms. On termination, outstanding escrow obligations will be resolved in accordance with the dispute resolution process. Provisions that by their nature survive termination (including payment, dispute, IP and indemnity clauses) shall continue to apply.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms that cannot be resolved through the Platform's dispute process shall be subject to the exclusive jurisdiction of the courts of South Africa, with primary jurisdiction in the Gauteng Division of the High Court.
